Terms of Use

The rules for using jottings.ai, the free tools, the calculator and your deal portal. Written to be read.

Version 1.0Effective October 9, 2026

Agreeing to these terms

Jottings.AI ("Jottings", "we", "us") is a product of Riley Ventures LLC, d/b/a Acme Studio, 1615 S Congress Ave, Ste 103, Delray Beach, FL 33445, USA. I'm Chris Riley, and I run it.

These terms cover jottings.ai, the free tools and guides, the calculator and readiness score, and the private portal we set up for your deal. By using any of them, you agree to these terms. If you're using them for a business, you're agreeing for that business too. If you don't agree, please don't use them.

Our Privacy Policy explains what we collect and what we do with it. It's part of these terms.

Who can use Jottings

  • You're at least 18.
  • You're using Jottings for a business, not for personal or household purposes.
  • If you act for a company (owner, officer, or someone they've put in charge of this), you're authorized to act for it, including starting an intake and sharing its information with us.
  • You're not barred from doing business with a US company under US sanctions or export laws.

What Jottings does, and what it doesn't promise

Jottings is a go-between. We help owners figure out what their business records might be worth, look for AI companies that want to license that kind of data, and run the custody side: holding the data in an encrypted vault, scrubbing it, and delivering it only under an agreement you signed. We're not the buyer.

  • No guarantees. We can't promise any buyer will be interested, make an offer, close, or pay a particular price. Past deals, examples and estimates on this site don't predict yours.
  • Nothing goes to a buyer without your say-so. A deal only happens if you sign for it.
  • Using the site, tools and portal is free. What we're paid on a deal is set in the agreements you sign.
Every deal runs on the documents you sign through Documenso, our e-signature service: the NDA / letter of intent and the license agreement. If those documents say something different from this page, the signed documents win.

What you tell us

We rely on what you tell us at intake and in the portal (who owns the company, what software you use, how staff were told, whether the data has been licensed before, and so on) to decide what to pitch and to whom. So when you give us that information, you're telling us that:

  • It's accurate to the best of your knowledge, and you'll tell us if it changes. That's the same box you tick at intake.
  • You're allowed to share it with us, and to let us look at anything you upload or connect so we can evaluate and prepare it.

The promises you make to a buyer about the data itself (that you own it, can license it, and so on) live in the agreements you sign, not here.

Free tools and estimates

The calculator, the readiness score, the guides and the templates are there to help you think. Their numbers are rough, built from what you enter and our general assumptions about the market.

  • They're not an offer, an appraisal, or a valuation of your business or your data.
  • They're not financial, tax, legal or accounting advice. Talk to your own advisers before you license anything, especially if your records include health, legal, financial or other regulated information.
  • What you write with our templates (your how-to guides, your notes) is yours to use however you like.

Acceptable use

Please don't:

  • Upload or connect data you don't have the right to share.
  • Upload malware, or anything meant to harm our systems or anyone else's.
  • Try to get into another owner's portal or deal, or into parts of Jottings you weren't given access to.
  • Scrape the site, probe it for weaknesses, overload it, or reverse-engineer it. Found a security issue? Tell us at hello@jottings.ai and we'll thank you for it.
  • Pretend to be someone you're not, or say you speak for a business when you don't.
  • Use Jottings to break the law or anyone's rights.

Your portal and links

Your portal is reached through private links we email you (and, if you choose, a Google or Microsoft sign-in). Treat those links like a password.

  • They're personal. Don't forward them. Anyone holding your link can see your deal.
  • The exception is the IT hand-off links the portal makes for exactly that purpose. Send those to your IT person or vendor; what they do through the link is on you, the same as if you did it.
  • If a link gets out, or you forward one by mistake, email hello@jottings.ai. We'll shut it off and send you a new one.
  • Until you tell us, we treat anything done through your links as done by you.

Connecting Google or Microsoft

Signing in with Google or Microsoft is optional. Each permission is a separate step, and you see exactly what's asked for on the provider's own screen before you agree.

  • Google: sign-in, and proof that you're your company's admin. That's all. We don't ask for access to Gmail or Google Drive. If you want them in a deal, you download or export them yourself and upload them.
  • Microsoft: sign-in, admin proof, and, if you choose, read-only access to the files or mail your account can see. By connecting, you're letting us copy that data into your deal's vault, to be handled as the Privacy Policy and your signed agreements say.
  • Only connect what you're allowed to. If your company has rules about third-party apps, follow them, or ask your admin.
  • You can disconnect any time: click Disconnect in the portal, or remove Jottings at myapps.microsoft.com or myaccount.google.com/permissions. Disconnecting stops new copies. What's already in the vault is handled as the Privacy Policy and your agreements say.

What each permission is for is in the Privacy Policy, along with how we follow Google's Limited Use requirements.

Who owns what

  • Your data stays yours. We only get the rights you give us in the Privacy Policy and the agreements you sign: to hold it, prepare it, and deliver it as agreed.
  • The site, the tools, the portal, our writing and our brand are ours. You can use them for your business while these terms are in place; don't copy, resell or rebrand them.
  • Feedback is welcome. If you send us ideas or suggestions, we can use them without owing you anything. Your data is never "feedback".

Other companies' services

Jottings relies on other companies to run (they're listed in the Privacy Policy), and some steps happen on their sites: signing with Documenso, signing in with Google or Microsoft. Their own terms apply there, and we're not responsible for their services or for other sites we link to.

Buyers are independent companies. What a buyer owes you is set by the agreements you sign with them.

Disclaimers

The site, tools and portal are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don't promise they'll be uninterrupted, error-free, or that any estimate or result will be accurate.

This doesn't change anything we promise in an agreement you've signed with us.

Limits on our liability

To the fullest extent the law allows, Riley Ventures LLC and its owners, staff and contractors won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, deals or data, arising from your use of the site, tools or portal, even if we were told it could happen. Our total liability for anything arising from these terms or that use is limited to US $100.

These limits cover the site, tools and portal under these terms. Liability under a deal is governed by the agreements you sign. Some places don't allow some of these limits; where that's the case, they apply as far as the law allows.

If someone brings a claim because of you

You'll defend and cover Riley Ventures LLC and its owners, staff and contractors against third-party claims, and the costs that come with them (including reasonable lawyers' fees), to the extent they come from:

  • data you uploaded or connected without the right to,
  • information you gave us that you knew was false, or
  • your breaking these terms or the law.

We'll tell you promptly about any such claim, let you run the defense, and help where reasonable. We won't settle a claim in your name without your OK.

Ending things

  • You can stop using Jottings whenever you like. To close your portal and have your data deleted, email hello@jottings.ai. Deletion works as the Privacy Policy describes.
  • We can suspend or end your access if you break these terms, if it's needed to protect other owners, buyers or our systems, or if the law requires it. We'll tell you why when we can.
  • Ending access to the site or portal doesn't cancel agreements you've signed. Those run on their own terms.
  • The sections on who owns what, disclaimers, liability limits, indemnity and governing law keep applying after access ends.

Governing law and disputes

Florida law governs these terms, without regard to its conflict-of-laws rules. Any lawsuit about these terms or the site, tools or portal goes to the state courts in Palm Beach County, Florida, or the US District Court for the Southern District of Florida, and you and we both agree to those courts. Either of us can still use small-claims court for a claim that qualifies.

Before anyone files, email hello@jottings.ai with what's wrong and give us 30 days to try to sort it out. Most things get fixed faster by talking.

Changes to these terms

We'll update these terms as Jottings changes. The version and effective date at the top will always be current. If a change matters, we'll email you or post it in your portal at least 14 days before it takes effect. If you keep using Jottings after that, the new terms apply. Changes never reach back to before they took effect, and they never change an agreement you've signed.

The fine print

  • These terms, the Privacy Policy and the Acceptable Use Policy are the whole agreement about the site, tools and portal. Deals run on the agreements you sign.
  • If part of these terms can't be enforced, the rest still applies.
  • If we don't enforce something right away, we haven't given up the right to.
  • You can't transfer these terms without our OK. We can transfer them as part of a merger, acquisition or sale of Jottings.
  • We'll send notices to the email you gave us. Send yours to hello@jottings.ai.
